A Wyoming registered agent is responsible for receiving official documents on behalf of a corporation.[1] The agent’s duties include accepting and forwarding these documents to the corporation’s managers.[2] Every corporation registered in Wyoming must continuously maintain a registered agent.[3]

Who can be a Registered Agent?
A registered agent can be an individual at least 18 years old who lives in Wyoming. An agent can also be a business entity, meaning a corporation, nonprofit corporation, limited liability company, limited partnership, cooperative marketing association, statutory trust, statutory foundation, or registered limited liability partnership, whether foreign or domestic.[4]
An agent must have a business office, which will double as the corporation’s registered office address. A drop box or post office box will not suffice. A penalty not exceeding $500 can be imposed on any agent who cannot be located at the address on file with the state.[5]

Changing a Registered Agent
To change its registered agent, a business entity may deliver a signed Statement of Change to the Secretary of State.[6] The statement should be mailed to Wyoming Secretary of State Herschler Building East, Suite 101 122 W 25th Street Cheyenne, WY 82002-0020. There is a $5 filing fee. To simply change a registered agent’s information on file, such as a name or address, use the Information Update form. There is a $5 filing fee.

Resigning as a Registered Agent
To resign, a registered agent may mail two copies of a signed Statement of Resignation to the Secretary of State for filing. There is a $5 filing fee.
By signing, the agent indicates that notice was sent to the corporation at least 30 days before the statement was filed. To avoid being dissolved, the entity should file a Statement of Change within those 30 days. The agent’s appointment terminates on the day of filing and it is legally required for all corporations to maintain a registered agent.[7]
