Who can be a Registered Agent?
A registered agent can be an individual who resides in West Virginia and whose business office will serve as the registered office of the corporation the agent represents. It follows, then, that an agent must have a physical street address and not a post office box.
An agent can also be a corporation or nonprofit corporation, either domestic or foreign. An entity’s office will also double as the represented corporation’s office.[2]

Yes, if you have a street address in West Virginia.
Typically, corporations designate their registered agent when they file for formation. To form an entity in West Virginia, visit the state’s One Stop Business Portal and create an account. Online filings cost $1 more than paper filings.[3]
For paper filings, download and complete one of the following forms:
- Corporation: Articles of Incorporation ($100 filing fee)
- Nonprofit Corporation: Articles of Incorporation ($25 filing fee)
- LLC: Articles of Organization ($100 filing fee)
- Limited Partnership: Certificate of Limited Partnership ($100 filing fee)

Changing a Registered Agent
A corporation can change its registered agent by delivering a Statement of Change to the Secretary of State.[4]
The statement should mention the name of the corporation, the mailing address of its registered office, the name of the current registered agent, and the name of the new registered agent. The statement must also include the new agent’s written consent to the appointment and signature.
Resigning as a Registered Agent
A registered agent can resign by delivering a signed Statement of Registration to the Secretary of State, who will then mail a copy of the resignation to the registered office of the corporation the agent represents. The resignation becomes effective 31 days after filing.[5]
