A Tennessee registered agent is a person or company responsible for accepting legal mail on behalf of an entity registered in the state. The agent must have a physical address, which is the entity’s registered office. All entities in Tennessee must have a registered agent.[1]

Registered Agent Search
Step 1 – Visit the state’s Business Information Search page.
Step 2 – While the database is not searchable by registered agent, entering information about the business with which the agent is associated results in information about the agent. Enter the business name, or part of it, click the box beside “I’m not a robot,” and click “Search.”
Step 3 – Click the “Control #” associated with the correct entity in the left-hand column. To conduct another search, enter another entity name and click “Search.”
Step 4 – Select the “Registered Agent” tab halfway down the page for information about the registered agent, including a name and address.
Who can be a Registered Agent?
A registered agent can be an individual residing in Tennessee or an entity registered in Tennessee.
Eligible entities include domestic and foreign corporations, not-for-profit domestic corporations, LLCs, general partnerships, limited partnerships, and limited liability partnerships.[2]
Can I be a Registered Agent?

The most common way entities designate a registered agent is by including the agent’s information in their formation document when registering.
In Tennessee, businesses can be registered online. Changing a Registered Agent
To change its registered agent, a corporation can file a Statement of Change of Registered Agent/Office by Entity or Agent(Form SS-4534).[3] The filing fee is $20.

Resigning as a Registered Agent
A registered agent can resign by filing a form known as Resignation of Registered Agent (Form SS-4420). The filing fee is $20.
The statement must include certification that the agent has mailed a copy of the notice to the corporation’s principal office by certified mail.[4]
The resignation becomes effective when the statement is filed with the Secretary of State.[5] Once the statement has been filed, the corporation must appoint another agent or risk being dissolved by the state.[6]
