An Oregon registered agent is a person or business responsible for receiving official communication on behalf of a corporation registered in Oregon. Official communication includes service of process, notices, demands, and other legal documents. Every corporation must continuously maintain a registered agent.[1]

Registered Agent Search
Step 1 – Visit the state’s Business Name Search page. Click on “Business Name Search (Advanced Search).”
Step 2 – Select “By Business” or “By Individual.”
Step 3 – Select “Agent” in the checklist. Enter the agent’s first and last names.
Step 4 – A list of agents and entities will appear. Choose the appropriate one.
Step 5 – The registered agent’s name, address, and date of appointment will appear.
Who can be a Registered Agent?
A registered agent can be a domestic corporation, domestic limited liability company, domestic professional corporation, domestic nonprofit corporation, foreign corporation, foreign limited liability company, foreign professional corporation, or foreign nonprofit corporation authorized to transact business in Oregon.
In Oregon, unlike in other states, the registered agent’s address does not have to be the same as the corporation’s address. However, the agent must have a physical street address. This cannot be a commercial mail-receiving agency, a mail-forwarding business, or a virtual office.[2]
Can I be a Registered Agent?
Yes, if you are a resident of Oregon or a business registered to operate in Oregon.
Corporations can appoint a registered agent by filing a Notice of Designation. The form should be completed and mailed to the Secretary of State Archives Division 800 Summer St. NE Salem, OR 97310 503-373-0701. There is no filing fee.

Changing a Registered Agent
A corporation can change its registered agent by delivering a Notice of Designation to the Secretary of State.[3]
The statement must include the entity’s name and address and indicate that the new agent consents to the appointment. Once the statement is filed, the agent’s appointment is terminated.

Resigning as a Registered Agent
A registered agent can resign by delivering a signed resignation notice to the Secretary of State. A copy of the resignation notice must also be sent to the corporation in order for the resignation to be valid.
The registered agent’s resignation becomes effective 31 days after filing or when a new agent is appointed, whichever comes first.[4]
