A Missouri registered agent is a person or business authorized to receive legal documents on behalf of a corporation. The agent must either live in Missouri or be registered to do business in Missouri. Every corporation in Missouri must have a registered agent at all times.[1]

Registered Agent Search

Step 1 – Go to the Business Search page on the Missouri Secretary of State’s website.

Step 2 – Select “Registered Agent” from the drop-down menu. Select either “Agent is individual” or “Agent is organization.” Enter the agent’s name. Click “Search.”

Step 3 – A list of agents and the corporations they represent will appear. Select the appropriate agent from the left-hand column.

Step 4 – Selecting an agent will show information about the entity the agent represents, including its charter number and status.

Who can be a Registered Agent?

A registered agent can be either an individual living in Missouri or a corporation operating in Missouri. The agent must have a street address that can double as the registered office address of the corporation the agent represents.[2] The address cannot be a PO box or a UPS Store.[3]

Can I be a Registered Agent?

Yes, if you live in Missouri or have a business registered in Missouri.

The simplest way to designate an agent is to name the agent in the document filed to create an entity.[4] To create an entity, select one of the forms from the list below.[5] Complete and send, along with payment for the filing fee, to Corporations Division PO Box 778 / 600 W. Main St., Rm. 322 Jefferson City, MO 65102.

In Missouri, filing fees depend on several factors, such as the corporation’s capital or number of partners. A full fee schedule is available on the Secretary of State’s website.[6]

The Secretary of State’s website also offers a list of steps to starting a business and a step-by-step guide to filing online for for-profit corporations and limited liability corporations. An organizing document can be changed by filing an amendment.

Changing a Registered Agent

A corporation can change its registered agent by filing the appropriate form with the Secretary of State. In Missouri, the type of form used depends on the type of entity the agent represents.

Select a form from the list below, then complete and send it, along with payment for the $10 filing fee, to Corporations Division PO Box 778 / 600 W. Main St., Rm. 322 Jefferson City, MO 65102.

The change of agent becomes effective when the form is filed. If an agent’s position becomes vacant, the corporation has 60 days to appoint a new one or risk being dissolved by the state.[7]

Resigning as a Registered Agent

A registered agent can resign by filing a Statement of Resignation with the Secretary of State. Select the appropriate form from the list below, then complete it and send it, along with payment for the $10 filing fee, to Corporations Division PO Box 778 / 600 W. Main St., Rm. 322 Jefferson City, MO 65102.

An agent’s resignation becomes effective 30 days after the form is filed.[8]
