A Michigan registered agent is an individual or corporation authorized to receive legal documents on behalf of a corporation. The agent’s address must also be the address of the corporation’s registered office.[1] Every corporation registered in Michigan must maintain a registered agent.

Registered Agent Search
Step 1 – Visit the business entity search platform hosted by the Department of Licensing and Regulatory Affairs.
Step 2 – Select “Search by an Individual Name” and enter the agent’s name. Click “Search.”
Step 3 – Click the entity name associated with the agent.
Step 4 – Clicking on an entity’s name leads to information about the agent, including a name and address.
Who can be a Registered Agent?
In Michigan, a registered agent can be an individual who lives in the state or a domestic corporation, a foreign corporation, a domestic LLC, or a foreign LLC. The agent is someone upon whom any process, notice, or demand may be officially served.[2]
Designating a Registered Agent
The simplest way for a corporation to designate a registered agent is to include the agent’s name and address in the form filed to form the entity.[3] Select the appropriate form depending on the type of entity being registered.
- Domestic Corporation: File Articles of Incorporation. There is no filing fee.
- Domestic LLC: File Articles of Organization. The filing fee is $50.
- Domestic Nonprofit: File Articles of Incorporation. The filing fee is $20.
- Limited Liability Partnership: File an Application to Register a Limited Liability Partnership. The filing fee is $100.
- Limited Partnership: File a Certificate of Limited Partnership. The filing fee is $10.
- Foreign Corporation: File an Application for Certificate of Authority to Transact Business or Conduct Affairs in Michigan. For corporations, the filing fee is $60, and for nonprofit corporations, the fee is $20.

Changing a Registered Agent
To change a registered agent, file a Certificate of Change of Registered Office and/or Change of Resident Agent with the Corporations, Securities & Commercial Licensing Bureau. The certificate must be signed by an authorized officer of the corporation or a manager of the LLC.[4]

Resigning as a Registered Agent
To resign as a registered agent in Michigan, file Form CSCL/CD-521 with the Corporations, Securities & Commercial Licensing Bureau of the Department of Licensing and Regulatory Affairs.
The form can be filed online, submitted by mail to Corporations Division, P.O. Box 30054, Lansing MI 48909, or delivered in person to 2407 North Grand River Ave, Lansing MI 48906. For corporations and partnerships, there is no filing fee. For limited liability companies, the fee is $5.
A copy must be filed with the Bureau and another copy must be delivered to either the president or vice president, general partner, or member or manager of the entity, depending on the entity type.
The resignation is effective when a successor agent is appointed or 30 days after the Bureau receives the resignation, whichever comes first.[5]
