A Maine registered agent is an individual or corporation responsible for receiving and forwarding processes, notices, or demands served on a corporation.[1] Every corporation in Maine must maintain a registered agent. The agent must have a street address in Maine and be available at that address during regular business hours.

Who can be a Registered Agent?
A registered agent can be an individual or corporation authorized to do business in Maine.[2]
An individual or entity can become listed as a commercial registered agent by filing a signed statement with the Secretary of State. The statement must state the name of the agent or entity, that the agent is a commercial registered agent, the address or place of business at which the agent can be located, and that the agent consents to be in the public record. Commercial agents are listed on the Secretary of State’s website.[3]
Can I be a Registered Agent?
Yes, if you reside in Maine and have a street address at which you are available during regular business hours. The most common way for a corporation to designate a registered agent is to include the agent’s name and address in the documents filed to form a corporation. Changing a Registered Agent
A corporation can change its registered agent by filing with the Secretary of State a Statement of Appointment or Change of Clerk or Registered Agent (CLKRA3). This document must state the entity’s name and describe the change taking place. A Statement of Change takes effect upon filing.[5]
The filing fee is $35 or $15 for non-profit corporations.[6]

Resigning as a Registered Agent
A registered agent may resign at any time by filing with the Secretary of State a Statement of Resignation (MBCA3A-NCRA).
A Statement of Resignation takes effect on the 31st day after filing or upon the appointment of a new agent, whichever comes first. There is no filing fee for a commercial registered agent. The fee for a noncommercial agent’s resignation is $35 and $15 is the fee for a non-profit corporation.[7][8]
