Registered Agent Search

Step 1 – Visit the Secretary of State’s business filings search engine.

Step 2 – Select “Officer Name or Agent Name.” Enter the first and last name of a registered agent. Make sure to check the “I’m not a robot box.” Click “Search.”

Step 3 – Find the appropriate registered agent on the list, then click “Details” on the correct line.

Step 4 – Review further details about the entity associated with the agent, as well as the agent’s name, address, and date of appointment.

Who can be a Registered Agent?

A registered agent can be an individual residing in Louisiana, a partnership, a corporation, a limited liability company, a foreign corporation, or a foreign limited liability company authorized to do business in Louisiana.[2]

The agent’s business office must also be the corporation’s registered office.[3]

Can I be a Registered Agent?

Yes, provided you are a person residing in, or a business authorized to do business in, Louisiana.

The most common way for a company to designate a registered agent is to include the agent’s name in documents filed to form the company. The Commercial Division offers online filing for all types of entities. Incorporators who have questions can schedule an appointment with the Commercial Division. Changing a Registered Agent

A corporation can change its registered agent by filing a Notice of Change of Registered Office and/or Change of Registered Agent (R.S. 12:1308) with the Secretary of State.[4] The filing fee is $25. Mail or deliver the completed form and payment to Commercial Division, P.O. Box 94125, Baton Rouge, LA 70804-9125.

Resigning as a Registered Agent

A registered agent can resign by signing and delivering to the Secretary of State for filing two copies of a Statement of Resignation. After filing, the Secretary of State will mail one copy to the registered office of the corporation the agent represented.

The resignation becomes effective on the 31st day after the statement is filed.[5] A successor agent must be appointed within 30 days of the resignation.[6]
