A Kentucky registered agent is a person or business authorized to receive official documents on behalf of a business. The agent is responsible for forwarding any service of process, notice, or demand served on a corporation to that corporation. Every entity registered in Kentucky must have a registered agent.[1]

Registered Agent Search

Step 1 – Visit the state’s On-line Business Database Registered Agent Search.

Step 2 – Enter the name of the registered agent. Check the box to limit the search to only active organizations. Choose to either sort by the agent’s name, by the organization’s name, or by the organization’s filing number. Click “Search.”

Step 3 – Click on the company name affiliated with the appropriate agent.

Step 4 – Scroll for information about the organization, including the name and address of its registered agent.

Who can be a Registered Agent?

A registered agent may be an individual residing in Kentucky or an entity or foreign entity authorized to do business in Kentucky. The agent’s address must be identical to the address of the company’s registered office.[2]

Can I be a Registered Agent?

Yes, if you are a person or company residing in Kentucky (or, in the case of a foreign entity, authorized to transact business in Kentucky) with a Kentucky street address.

The easiest way to designate a registered agent is to include the agent’s name and contact information in the document filed to form a company. Complete the form and mail it, along with payment for the filing fee, to Business Filings, 700 Capital Ave., P.O. Box 718, Frankfort, KY 40602. With questions, call (502) 564-3490.

Changing a Registered Agent

An entity can change its registered agent by filing a completed Statement of Change of Registered Agent and Office with the Secretary of State. The statement must be signed by an officer, chairman of the board, member, manager, or partner. The filing fee is $10 and checks should be made payable to the “Kentucky State Treasurer.” An agent can also be changed online.

The appointment of a new agent is effective as soon as the statement is filed.[3]

Resigning as a Registered Agent

To resign as a registered agent, file a Statement of Resignation of Registered Agent with the Secretary of State. There is no filing fee.

The Secretary of State will then mail a copy to the registered office. The resignation becomes effective either 31 days after the statement is filed or when a successor agent is appointed, whichever comes first.[4]
