A Kansas registered agent is an individual or company legally authorized to accept service of process and other communication, including subpoenas and court orders, for a company. Who can be a Registered Agent?
A registered agent may be either an individual residing in Kansas or a company legally allowed to do business in Kansas. If the agent is a person or a domestic corporation, the agent must be present at a designated location during regular business hours. In Kansas, unlike in other states, a corporation can act as its own registered agent.[2]
Can I be a Registered Agent?

Mail or deliver completed forms, along with payment for the filing fee, to Kansas Secretary of State Memorial Hall, 1st Floor 120 SW 10th Avenue Topeka KS 66612. Foreign corporations must register by paper.
Domestic Corporation
- A domestic corporation, whether for-profit or not-for-profit, must file Articles of Incorporation with the state. The filing fee for a for-profit corporation is $90 and for a non-profit corporation, the fee is $20.
Domestic LLC
- File Articles of Organization with the state. The filing fee is $165.
Domestic Partnership
- File a Statement of Partnership Authority. The filing fee is $35.
Domestic Limited Partnership
- File a Certificate of Limited Partnership. The filing fee is $165.
Domestic Limited Liability Partnership
- File a Statement of Qualification with the state. The filing fee is $165.
Foreign Entity
- File an Application for Registration with the state. The filing fee for an LLC or partnership is $165. Forming a corporation, whether for-profit or not-for-profit, incurs a filing fee of $115.
Changing a Registered Agent
To change a registered agent, file a Change of Registered Office/ Resident Agent form with the secretary of state. The form must be signed by an authorized officer of a corporation, an authorized person at a limited liability company or limited liability partnership, or a general partner of a limited partnership.
Failing to designate a new registered agent within 30 days of an agent’s death or relocation can result in the dissolution or revocation of the entity’s authority to do business.[3] A change becomes effective when the form is filed.[4]

Resigning as a Registered Agent
A registered agent may resign by filing a Certificate of Resignation of Resident Agent Without Appointing a Successor via mail or hand delivery to Kansas Secretary of State Memorial Hall, 1st Floor 120 SW 10th Avenue Topeka KS 66612.
Written notice of the resignation must be given to the company at least 30 days before the certificate is filed. The certificate should be signed by someone authorized to sign on behalf of the company, such as an officer.[5]
A resignation becomes effective 30 days after the certificate is filed.[6] If a new agent is not designated within 60 days, the entity can be dissolved.[7]
