A Connecticut registered agent is a company’s official point of contact. The agent, which can be either an individual or a business, is legally authorized to receive official documents.[1] Registered agents’ duties include accepting and forwarding processes, notices, and demands to the corporations they represent.

Registered Agent Search

Step 1 – Visit the Business Records Search page on the Connecticut Official State Website and click on “advanced search.”

Step 2 – Enter the agent’s name. If the agent is a business, check the “My agent is a business” box.

Step 3 – The search results can be filtered in the column on the left by date, status, or type. Click the business for its details, filing history, name history, and shares.

Who can be a Registered Agent?

Individuals who act as registered agents must be over the age of 18, residents of the State of Connecticut, and available during business hours. Corporations acting as agents must be in good standing with the state and meet certain criteria.[2]

A foreign corporation can appoint the Secretary of State to be its registered agent, according to state law.[3]

Can I be a Registered Agent?

Yes. In Connecticut, individuals can serve as resident agents for their own businesses.[4] A business, however, cannot represent itself.

The most common way to appoint registered agents is to name them on the Certificate of Organization, which is the document filed with the Secretary of the State to form a corporation in Connecticut.[5] The certificate is not valid until the designated agent signs it.

Changing a Registered Agent

Corporations are required to file an annual report that lists their registered agent, so this is the means by which an agent’s appointment gets renewed.[6]

To change the agent, file a completed Change of Agent form with the Secretary of State, either by mailing it to Commercial Recording Division, Connecticut Secretary of State, P.O. Box 150470, Hartford CT 06115-0470, or dropping it off at 30 Trinity Street, Hartford CT 06106. Call (860) 509-6003 with questions.

The fee to file a Change of Agent form is $50, and expedited service costs an additional $50. The filing fee for nonprofit corporations and limited partnerships is $20.

Resigning as a Registered Agent

A registered agent can resign by delivering a certificate of resignation to the Secretary of State using the addresses highlighted in the previous section.

There is no official form, but the law states that the certificate must include the name of the agent, the name and address of the company they represented, and a declaration that the agent is resigning.

The certificate becomes effective on the 31st day after filing or the date a new agent is designated. The resigning agent must immediately notify the company of the resignation.[7]
